GD XYONYX Campaign — Terms & Conditions

1. Purpose & Collaborative Scope

The Provider will deliver a Proof of Concept (POC) for Amazon Quick during its free trial period, giving a nominated department a tailored, hands-on experience of the platform at no license cost.

2. Built Deliverables

The scope includes configuring one automated workflow with a human approval checkpoint (Quick Flows/Automate), and/or one BI dashboard with natural-language querying (Quick Sight), and full team enablement with a quick-reference guide.

3. Capability Demos

To help your team explore full potential, live demonstrations of Quick Research, Browser Extensions, Chat integrations (Slack/Teams/M365), and Quick Apps will be presented as illustrative samples.

4. Focused Scope

To ensure rapid delivery and zero complexity, extra processes, complex custom apps, edge-case exception builds, and full IT migration remain separate from this fast-track POC.

5. 6-Month (3+3) Pathway & Fully Rebated Deposit

• Months 1–3 (Free Exploration Phase): The Customer receives complimentary access to explore and evaluate Amazon Quick.
• Months 4–6 (Sponsored Implementation Phase): The Customer transitions into sponsored implementation services delivered by the Provider.
• RM500 Commitment Fee: A nominal RM500 Commitment Fee secures the engagement and is 100% credited back against any ongoing subscription or service fees starting from Month 7 onwards (or retained as simple consideration for services rendered if you choose not to proceed).

6. Post-Handover Support

The Provider ensures smooth operations by providing 6 months of shared-channel support for bug fixes and minor adjustments to your delivered automation and dashboard.

7. Confidentiality

By virtue of this terms and conditions, each Party may disclose to the other certain confidential and proprietary information, including information relating to the scope of work, deliverables, responsibilities, business operations, technical information and other non-public matters (collectively, "Confidential Information"). Each Party ("Receiving Party") shall keep the Confidential Information of the other Party ("Disclosing Party") strictly confidential and shall not disclose such Confidential Information to any third party except to its employees, agents, professional advisers, or subcontractors who have a legitimate need to know such information for the purposes of performing the services and who are bound by confidentiality obligations no less restrictive than those set out herein.

8. No Warranty

You acknowledge and agree that any services or POC provided to you by the Provider is strictly on an "as is" basis. All conditions, representations and warranties, whether express, implied, statutory or otherwise including without limitation, any implied warranty of merchantability, fitness for a particular purpose or non-infringement of third-party rights are hereby excluded and disclaimed to the highest and maximum extent.

9. Indemnity

To the extent permitted by applicable law, you shall defend, indemnify and hold the Provider, its affiliates and licensors, and each of their respective employees, officers, directors, and representatives from and against any losses arising out of or relating to any third party claim concerning your use of our services, Amazon Quick or the POC (including any activities and use by you or your team), breach of this terms and conditions or any data breach arising out of the use of our services, Amazon Quick or the POC.

10. Limited Liability

Any services and POC delivered is on a standard trial basis with the purpose for both teams can test real-world value smoothly. To maintain a fair and balanced engagement, both parties agree that the aggregate liability of the Provider is limited to the nominal RM500 Commitment Fee during the twelve (12) months immediately preceding the date of the event giving raise to the claim.

11. Acceptable use

You may not use, or facilitate or allow others to use, the POC or Amazon Quick:

• for any illegal or fraudulent activity;
• to violate the rights of others;
• to threaten, incite, promote, or actively encourage violence, terrorism or other service harm;
• to violate the security, integrity, or availability of any user, network, computer or communications system, software application or network or computing device; and
• to distribute, publish, send or facilitate the sending of unsolicited mass email or other messages, promotions, advertising, or solicitations (or "spam").

12. Removal of access

The Provider shall have the unrestricted right, at any time and for any reason whatsoever or for no reason whatsoever, to remove, disable, restrict, suspend, or terminate access to any content, resource, functionality, or account within Amazon Quick, with or without prior notice to you.

13. IP Protection & Licensing

All underlying ownership of rights, title and interest of our services or POC, including all intellectual property rights therein and thereto (including without limitation, all patent rights, design rights, copyrights and trade secret rights) remains with the Provider. The Provider grants you a recoverable, non-transferable, non-sublicensable, non-exclusive license to use our services or the POC in accordance with the terms and conditions. The Provider reserves the right to revoke such license at any time.

14. Data Security

You acknowledge that you are solely responsible for:

• any data, required notices, consents and/or authorisations related to the use of our services, the POC or Amazon Quick.
• any security vulnerabilities, and the consequences of such vulnerabilities arising from your data, including any viruses, Trojan horses or other harmful programming routines contained in your data; and
• any use or misuse of data in a manner that is inconsistent with this terms and conditions.

15. Severability

If any term or provision of these terms and conditions be held illegal or unenforceable, in whole or in part, under any enactment or rule of law, such term or provision or part shall to that extent be deemed not to form part of this terms and conditions.

16. Variations

Any modification, amendment or alteration of this terms and conditions may only be affected in writing by the authorized representative of both parties.

17. Cost

Each Party shall be liable for their own legal cost and other incidental cost in relation to this terms and conditions.
